I am a partner in the Tax Advice group of Bryan Cave LLP. My practice focuses primarily on corporate and partnership tax planning, including acquisitions, mergers, reorganizations, spin-offs, and restructuring transactions. I  regularly represent public and private operating companies as well as venture capital and private equity funds.

I am co-author of the CCH expert treatise, Federal Taxation of Corporations and their Shareholders.  I regularly present on advanced tax topics, including for the Tax Section of  the American Bar Association and Tax Executives Institute.  In addition, I've written for Practice Law Institute, BNA's Daily Tax Reporter, Corporate Taxation Monthly, and others.

Since 2003, I've been an adjunct professor of law at Washington University School of Law, Masters in Taxation program where I've taught courses in advanced corporate taxation, including tax-free reorganizations (Section 368(a) of the Internal Revenue Code), spin-offs (Section 355 of the Internal Revenue Code), and issues limiting corporate tax attributes (Section 382 of the Internal Revenue Code).

In 2010, I was honored to be a member of the St. Louis Business Journal's 40 under 40.

During the year I also represented St. Louis' bid for the 2012 Democratic National Convention.

It was an honor to act as special tax counsel to Missouri's Tax Credit Reform commission, structuring proposed substantial changes to Missouri's Historic Tax Credit and Low Income Housing Tax Credit.

In 2009, I was selected to participate in FOCUS St. Louis' 2009 Leadership Class.
